If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time. Your continued use of the Service constitutes acceptance of modified Terms.
2. Service Description
ZoellioDental is a comprehensive cloud-based dental practice management and patient engagement platform designed for dental practitioners, clinics, and healthcare organizations. The Service includes patient management, scheduling, clinical documentation, prescription management, financial operations, payroll management, inventory management, patient engagement tools, telemedicine capabilities, reporting and analytics, mobile patient portal, and multi-location management.
3. User Eligibility and Registration
You must be at least 18 years old and legally authorized to practice dentistry or work in a dental practice in your jurisdiction. You represent and warrant that you hold valid, current professional licenses in the jurisdiction(s) where you practice. You agree to provide accurate information during registration and maintain confidentiality of your account credentials. You are responsible for all activities under your account.
4. Acceptable Use Policy
You agree not to: violate any applicable laws including healthcare laws (HIPAA, GDPR, CCPA); use the Service unlawfully or to damage the Service; attempt unauthorized access; transmit viruses or malware; send unsolicited communications; reverse-engineer or decompile the Service; remove proprietary notices; use automated tools without authorization; access the Service on behalf of others without authorization; violate professional ethics; disclose patient information unlawfully; or use the Service for competitive intelligence.
5. Intellectual Property Rights
The Service and all its content are owned by ZoellioDental and protected by copyright and intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service solely for authorized professional purposes. You retain rights to patient data you input into the Service, granting us a license to use it to provide the Service.
6. Patient Data and Healthcare Information
You remain responsible for maintaining patient information confidentiality. The Service is subject to HIPAA, GDPR, and state-specific privacy regulations. You represent you have obtained necessary patient consents. We implement industry-standard security measures, but no system is completely secure. You are responsible for timely retrieval of data upon termination.
7. Limitations of Liability
THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES. WE DISCLAIM LIABILITY FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF DATA, REVENUE, OR PROFITS; BUSINESS INTERRUPTION; OR HARM TO PATIENTS. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS YOU PAID IN THE PRECEDING 12 MONTHS. WE ARE NOT LIABLE FOR SERVICE INTERRUPTIONS.
8. Indemnification
You agree to indemnify, defend, and hold harmless ZoellioDental from claims arising from your violation of these Terms, your use of the Service or patient data, your violation of law or professional standards, your infringement of third-party rights, or claims regarding Your Data.
9. Service Availability and Termination
We may suspend or terminate your account at any time with or without cause due to Terms violations, non-payment, fraudulent activity, violation of law, regulatory action, or at our sole discretion. You may terminate your account at any time. Your right to use the Service ceases upon termination. We will make data available for export for a reasonable period after termination.
10. Changes to Service and Terms
We may modify or discontinue any portion of the Service at any time. We will make reasonable efforts to notify you of significant changes. We may update these Terms at any time. Your continued use constitutes acceptance of modified Terms.
11. Dispute Resolution
Disputes shall be resolved through binding arbitration administered by JAMS in Wilmington, Delaware, under Delaware law, rather than in court. Either party may bring an action in court to prevent irreparable harm or enforce intellectual property rights.
12. Compliance with Laws
You are solely responsible for ensuring compliance with all applicable federal, state, and local laws, including HIPAA, state medical practice acts, GDPR, professional ethics standards, and occupational safety regulations.
13. Limitation on Liability for Healthcare Services
This Service is a business management tool, not a substitute for professional judgment. You acknowledge that clinical decisions remain your responsibility, the Service does not provide medical advice, and you are responsible for all clinical diagnoses and patient care. We are not liable for adverse patient outcomes or clinical errors.
